archTIS Completes Asset Acquisition of Direktiv to Expand Market Innovation Across Data-centric Zero Trust Product Lines

archTIS Limited (ASX:AR9, OTCQB:ARHLF), a global provider of data-centric software
solutions for the secure collaboration of sensitive information, is pleased to announce it has
completed its acquisition of Direktiv’s technology assets, employees and customers.

The strategic acquisition will allow archTIS to enhance its zero trust security capabilities by
integrating Direktiv’s attribute-based access control (ABAC) and event-driven orchestration
platform into its product offerings. In particular, it will extend archTIS’ capabilities beyond
safeguarding data to managing access controls across enterprise infrastructure, data lakes,
and applications. This is crucial for regulated organisations mandated to implement zero
trust architectures for defending against increasing cyber-attacks. Extending zero trust
across infrastructure and data strengthens clients’ security posture and improves overall
operational efficiency, allowing them to better protect sensitive information while maintaining
agility in securing their IT environments.

The asset purchase will also enhance archTIS’ innovation capabilities by integrating the
Direktiv development and technology teams from Europe and Australia to support the
expansion of the company’s portfolio of products for securing data and infrastructure. It also
presents numerous customer cross-sell opportunities, creating significant value for archTIS’
expanded customer base. Customers from both organisations can benefit from a wider
range of products that deliver improved functionality and greater value across their data
security requirements.

Terms of Acquisition
The purchase consideration of US$750,000 will be settled in cash through three tranches;
the initial tranche of US$350,000 was made on settlement followed by US$250,000 six
months post settlement and a final US$200,000 twelve months post settlement.
Direktiv founders, Wilhelm Wonigkeit and Jens Gerke have been appointed to key
technology leadership positions within the company. Wilhelm will serve as archTIS’ Global
Architect, responsible for working with organisations to define data-centric solutions to meet
their data sharing and zero trust architecture requirements. Wilhelm will also lead the
technical architecture of the company’s software solutions. Jens will take on the role of
Software Engineering Manager, where he will guide development efforts, promote a culture
of technical excellence, and drive the efficient development of archTIS software products.
